Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement ("NDA") is maintained by EDUNEST pvt.Ltd for schools, partners, and other parties who may access confidential information about EDUNEST or share confidential information with us. This is a template document that may be signed separately for formal engagements. For a legally binding agreement, please contact us to execute a signed version.

1. Parties

This NDA is between EDUNEST pvt.Ltd ("EDUNEST") and the school, organisation, or individual accessing or evaluating EDUNEST ("Receiving Party").

2. Definition of confidential information

"Confidential Information" means any non-public information disclosed by either party, whether written, oral, or electronic, that is identified as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

For EDUNEST, Confidential Information may include:

  • Product roadmaps, technical architecture, and platform designs.
  • Pricing, commercial terms, and proposal details.
  • Demo access, feature previews, and beta functionality.
  • Security practices and operational procedures.
  • Customer data, analytics, and usage patterns shared with us.

For the Receiving Party, Confidential Information may include school operations, student data, parent data, and internal processes shared during evaluation or onboarding.

3. Obligations of the receiving party

The Receiving Party agrees to:

  • Use Confidential Information solely for the purpose of evaluating, adopting, or supporting EDUNEST services.
  • Keep Confidential Information secret and not disclose it to third parties without prior written consent.
  • Restrict access to Confidential Information to employees, contractors, and advisors who need to know it and who are bound by confidentiality obligations.
  • Protect Confidential Information with the same degree of care used to protect its own confidential information, but no less than reasonable care.
  • Not copy, modify, reverse engineer, or create derivative works from EDUNEST's Confidential Information except as authorised.

4. Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no breach of this NDA.
  • Was already known by the Receiving Party before disclosure.
  • Is received from a third party without breach of any confidentiality obligation.
  • Is independently developed by the Receiving Party without use of the Confidential Information.
  • Is required to be disclosed by law or court order, provided the Receiving Party gives prompt notice and cooperates in seeking a protective order.

5. Term

This NDA begins on the date of first disclosure and continues for a period of three (3) years, unless terminated earlier by mutual written agreement. The obligations of confidentiality survive termination for a period of five (5) years.

6. Return of information

Upon request, the Receiving Party will promptly return or destroy all copies of Confidential Information and certify such return or destruction in writing. This obligation does not apply to information retained in routine backup systems or as required by law or professional record-keeping obligations.

7. No rights granted

Nothing in this NDA grants the Receiving Party any licence, ownership, or other rights to EDUNEST's intellectual property, trade secrets, or Confidential Information. All such rights remain with EDUNEST or its licensors.

8. Governing law

This NDA is governed by the laws of India. Any disputes arising from this NDA will be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

9. Changes and contact
